Why Hiring an Austin Contract Lawyer Matters

Contracts define the rights and obligations of parties in a business relationship. A poorly drafted agreement can expose your company to disputes, financial losses, or litigation.

An experienced Austin contract lawyer provides critical services such as:

Drafting clear, enforceable agreements

Reviewing contracts for hidden risks

Negotiating favorable terms

Litigating or resolving disputes when agreements break down

In Texas, some verbal agreements may be legally binding under certain circumstances, which adds complexity and risk if disputes arise.

Key Factors When Choosing the Right Contract Lawyer in Austin

Relevant Experience in Corporate and Construction Law

Not all contract lawyers are the same. Businesses in Central Texas often deal with:

Commercial leases

Vendor and supplier agreements

Construction contracts and subcontractor agreements

Partnership and shareholder agreements

If you are in construction, for example, you need an Austin construction contract lawyer familiar with project timelines, change orders, and risk allocation. A general practitioner may miss industry-specific issues that could later lead to disputes.

What to look for:

Experience in your specific industry

Familiarity with Texas construction and business regulations

Proven track record handling similar contracts

Strong Contract Drafting and Review Skills

The best legal disputes are the ones that never happen. A skilled Austin contract lawyer focuses on prevention by drafting precise, comprehensive agreements.

Key contract elements your attorney should carefully evaluate include:

Performance obligations and deadlines

Payment terms and penalties

Dispute resolution clauses (mediation, arbitration)

Force majeure provisions

Compliance with Texas law

Contracts that are vague or incomplete often lead to misunderstandings and litigation. Attention to detail is critical.

Negotiation Ability That Protects Your Interests

Contracts are not just legal documents; they are business tools. A strong attorney understands how to negotiate terms that align with your goals while maintaining workable relationships.

An experienced Austin contract lawyer can:

Identify unfavorable clauses

Propose strategic revisions

Balance risk and opportunity

Effective negotiation can mean the difference between a profitable agreement and one that creates long-term liability.

Litigation and Dispute Resolution Experience

Even well-drafted contracts can lead to disputes. When that happens, you need an Austin Breach of Contract Lawyer who can enforce your rights.

Under Texas law, proving a breach of contract generally requires proof of:

A valid contract

Performance or tendered performance by the plaintiff

Breach of the contract by the defendant

Damages caused by the breach

Your attorney should be comfortable handling:

Demand letters and negotiations

Mediation and arbitration

Courtroom litigation when necessary

Importantly, many disputes can be resolved without litigation if your contract includes clear dispute resolution provisions.

Knowledge of Texas-Specific Contract Laws

Texas contract law includes requirements that can affect enforceability. For example:

Certain agreements must be in writing and signed under the Texas statute of frauds, including many real estate contracts, leases longer than one year, and agreements that cannot be performed within one year.¹

Enforceable contracts generally require offer, acceptance, consideration, mutual assent, and sufficiently definite material terms.²

Different rules may apply depending on the type of contract involved, including construction agreements, real estate contracts, and contracts for the sale of goods.³

An Austin-based attorney brings local insight into how courts and businesses operate in Central Texas—something out-of-state counsel may lack.

Reputation and Client Feedback

Reputation matters when selecting a contract lawyer in Austin. Consider:

Client testimonials and reviews

Peer recognition

Referrals from other professionals

A lawyer’s track record in handling negotiations and disputes can give you confidence in their ability to protect your interests.

Austin-Specific Considerations for Contract Law

A Rapidly Growing Business Environment

Austin’s economy spans tech startups, real estate development, and construction projects. Each industry requires tailored contracts to address unique risks.

For example:

Tech companies may need intellectual property protections

Construction firms must address delays, materials, and subcontractor liability

Real estate developers require detailed purchase and lease agreements

Local lawyers are often more familiar with these nuances and can tailor contracts accordingly.

Construction Contracts in Central Texas

Construction is one of the most contract-heavy industries in the Austin area. A qualified Austin construction contract lawyer can help with:

Drafting construction agreements

Managing subcontractor relationships

Addressing delays and cost overruns

Advising on Texas mechanic’s lien, contractor’s lien, and materialman’s lien issues

Without proper legal guidance, construction disputes can escalate quickly and become expensive.

Common Contract Disputes in Austin

Businesses frequently face disputes involving:

Non-payment

Breach of service agreements

Missed deadlines

Misinterpretation of contract terms

Change-order disputes

Scope-of-work disagreements

Construction delays

Defective-work claims

Payment applications and retainage disputes

Commercial lease defaults

Partnership or ownership disputes

These disputes can disrupt operations and lead to significant financial harm if not handled effectively.

Red Flags When Choosing a Contract Lawyer

Not every attorney is the right fit. Watch for:

Lack of specialization in contract or business law

Limited experience in Texas law

Over-reliance on generic templates instead of custom agreements

Contracts should not be treated as “one-size-fits-all.” Your lawyer should tailor each agreement to your specific business needs.

How the Right Lawyer Adds Long-Term Value

Hiring the right Austin contract lawyer is an investment, not just a cost.

A skilled attorney can:

Reduce the risk of future disputes

Strengthen your negotiating position

Improve compliance with Texas law

Protect your business from avoidable financial risk

Ultimately, contracts should support your growth, not hold you back.

Understanding Mechanic’s Liens Under Texas Law

A mechanic’s lien (also often called a construction lien) is a legal claim against real property for unpaid labor, materials, services, or equipment furnished to improve that property. Filing a mechanic’s lien generally provides the claimant with a security interest in the property, meaning the debt attaches to the property until payment is made, subject to compliance with statutory requirements.

Mechanic’s liens are not unique to Texas, but they are governed by very specific provisions in the Texas Property Code (Chapter 53).¹

Historically, mechanic’s liens in the U.S. began as a tool to protect those who contributed labor and materials to the improvement of property, ensuring they had leverage to collect payment before other creditors.

Texas law often refers to these claims collectively as mechanic’s and materialman’s liens.

Why Mechanic’s Liens Matter in Texas Construction

In Texas – a state with a booming construction market, from downtown Austin high-rises to Central Texas residential and commercial developments – payment disputes are not uncommon. A mechanic’s lien exists to:

Secure payment for work performed.

Provide leverage in disputes over unpaid invoices.

Alert property owners and title companies to outstanding debts before sale or refinancing.

Liens can significantly impact a property’s marketability or financing, so understanding how they work is essential for anyone involved in construction in Texas.

Who Can File a Mechanic’s Lien in Texas?

Under Texas law, a wide array of construction professionals may qualify to file a mechanic’s lien if they meet statutory requirements:

General and prime contractors

Subcontractors

Material and equipment suppliers

Laborers

Certain architects, engineers, and design professionals under specific conditions

Even verbal contracts may preserve lien rights in many situations, except for certain residential homesteads, where a written contract is required.

Texas Construction Lien Laws: Deadlines & Requirements

Texas lien laws are among the most complex in the country. The deadlines and notice requirements depend on your role and the type of project:

Pre-Lien Notices (for Certain Claimants)

If you are a subcontractor or supplier without a direct contract with the property owner, in most situations you must serve pre-lien notices (also called “fund trapping notices”) to preserve your lien rights:

Invoice Notice – by the 15th day of the second month after the month labor was performed or materials delivered.

Pre-Lien Notice – by the 15th day of the third month after work was performed.

Note: Original contractors (those with a direct contract with the owner) generally do not need to send pre-lien notices.

Filing the Lien Affidavit

The lien affidavit is the official document that must be filed with the county clerk in the county where the property is located. It must include key details like the amount owed, a legal description of the property, and claimant information.

Deadlines:

Project Type

Claimant

Deadline to File Lien

Residential projects

Original contractor

15th day of the third month after work completed

Non-residential projects

Original contractor

15th day of the fourth month after work completed

Residential & commercial subcontractors/suppliers

Subcontractors

15th day of the fourth month after last provided labor/materials

Missing these deadlines will often invalidate your lien completely, no matter how strong your claim under Texas law.²

Serving the Filed Lien

After filing your lien affidavit, Texas generally requires you to serve a copy of the filed lien affidavit on the property owner — and, if you’re a subcontractor, on the general contractor as well — within 5 days of filing.

How to File a Mechanic’s Lien in Austin / Central Texas

Here’s a practical step-by-step outline to file a lien for unpaid construction work in Austin or elsewhere in Texas:

Confirm Eligibility: Ensure you provided labor, services, or materials that qualify under Chapter 53 of the Texas Property Code.

Send Pre-Lien Notices (if required): Serve notices by the statutory deadlines.

Prepare Your Lien Affidavit: Include legally sufficient property descriptions, amounts owed, and claimant details.

File With the County Clerk: File in the county where the property is located before your filing deadline.

Serve the Filed Lien: Deliver copies to required parties within 5 days of filing.

Enforce the Lien (if necessary): If payment still isn’t received, you may need to file a foreclosure lawsuit. In many cases, the deadline to enforce a lien is within one year of the last day the lien could be filed.

When a Mechanic’s Lien Is Filed Against Your Property

If you are a property owner and a mechanic’s lien is filed against your property, here’s what to know:

A lien can cloud your title, making refinancing or selling difficult until resolved.

You may have options to challenge the lien if it was improperly filed or invalid under Texas law.

You may negotiate payment or require lien releases once debts are paid.

Property owners often work with experienced counsel to determine if the lien meets statutory requirements, including proper notice and timing, because Texas courts strictly enforce statutory procedures.

Typical Questions We Hear from Central Texas Construction Professionals

Q: What if a lien deadline was missed?

If you miss a statutory deadline to file or serve notices, you may lose your lien rights permanently, even if you are owed money. Consulting with an attorney as early as possible is crucial.

Q: Can I file a lien without a written contract?

Yes, for many commercial projects, even a verbal agreement may preserve lien rights. However, residential homestead projects often require a written contract.

Q: Does a mechanic’s lien guarantee payment?

No, a mechanic’s lien doesn’t automatically get you paid. It gives you the legal leverage to enforce payment, typically through litigation if necessary.

Final Thoughts: Protect Your Rights Under Texas Lien Laws

Mechanic’s liens can be effective tools for ensuring payment for work and materials, especially in a vibrant construction market like Austin and Central Texas. But they come with strict legal requirements, precise deadlines, and formal procedures that must be followed exactly under the Texas Property Code.

For contractors, subcontractors, suppliers, and other construction professionals asking “How do I file a Texas construction lien?” The key is preparation, timing, and compliance. When deadlines are tight and stakes are high, working with experienced construction law attorneys can protect your rights and improve your chances of recovery.

If you need assistance with filing a mechanic’s lien in Central Texas, responding to one filed against your property, or navigating the full lien lifecycle, our team is here to help.

Should an Austin business form an LLC or elect S-Corp status?

For many Austin businesses, forming a Limited Liability Company (LLC) is often the preferred starting point because it offers flexibility and fewer administrative requirements. In some cases, electing S-Corp tax treatment can provide tax advantages as a business grows, depending on profitability, ownership structure, and long-term goals. To be clear, an LLC is a legal entity type, while an S-Corporation is a federal tax election – a distinction that is often misunderstood, even by entrepreneurs.

Starting a business in Austin’s vibrant tech and service economy is exciting. But one of the earliest and most crucial decisions you’ll make as a founder is which business entity to choose. This choice affects your personal liability exposure, tax obligations, operational complexity, and even how investors perceive your company – whether you’re launching a startup, opening a restaurant, forming a construction business, or investing in real estate.

In Texas, two of the most common options for early-stage companies are forming a Limited Liability Company (LLC) and electing S-Corporation (S-Corp) status. As experienced corporate attorneys based in Austin, the BCS Law team is here to walk you through the key differences and real-world implications for tech and service business founders.

What Is a “Business Entity,” and Why Does It Matter?

A business entity is a legally recognized organization created under state law that defines how your business operates, how profits are taxed, and what liability protection owners receive. In Texas, many businesses choose the following entity type and tax classification:

Limited Liability Company (LLC): A flexible business structure that blends features of partnerships and corporations.

S-Corporation (S-Corp): A tax status elected with the IRS that applies to eligible corporations and LLCs, allowing for pass-through taxation with potential payroll tax savings.

Choosing them requires thoughtful evaluation of your company’s goals, expected profit levels, ownership plans, and tolerance for administrative complexity.

Liability Protection: A Fundamental Business Concern

Both LLCs and S-Corps offer limited liability protection—a legal firewall that generally shields your personal assets (like your home and savings) from business debts and lawsuits. This protection is one of the most compelling reasons entrepreneurs avoid operating as sole proprietors or general partnerships.

However, this protection isn’t absolute. To maintain the “corporate veil,” you must:

Maintain separate business and personal finances.

Follow basic corporate formalities.

Avoid commingling assets.

In certain cases, failure to do so may lead courts to pierce the veil and expose personal assets.

Taxation: S-Corp vs. LLC in Texas

A key practical distinction between these structures is how they are taxed.

LLC Tax Treatment

LLCs are typically subject to pass-through taxation, meaning the business itself doesn’t pay federal income tax. Instead, profits and losses pass through to members’ personal tax returns. In Texas, there’s no state income tax, but LLCs and S-Corps alike must file the Texas franchise tax report—though many small businesses fall below the current “no tax due” threshold, which is approximately $2.47 million in annual revenue, and owe nothing.¹

For federal tax purposes, LLC owners generally pay self-employment tax (~15.3%) on all net earnings, which covers Social Security and Medicare.

S-Corp Tax Treatment

An S-Corp is not a separate entity type; it is a federal tax election that changes how income is treated. The election is typically made by filing IRS Form 2553.²

Under S-Corp status:

The business still enjoys pass-through taxation.

Owners may pay themselves a reasonable salary subject to payroll taxes.

Remaining profits can be distributed as dividends not subject to self-employment tax.

This structural nuance can reduce overall federal tax liabilities when your business reaches a level of profit where payroll tax savings outweigh the cost of additional compliance and payroll administration.

Formation & Compliance: Costs and Complexity

Forming an LLC in Texas

To form an LLC in Austin or anywhere in Texas, you must file a Certificate of Formation with the Texas Secretary of State. You’ll also need a registered agent and an operating agreement to outline member rights and business procedures.

LLCs have minimal annual compliance requirements compared to corporations – no board, no mandatory meetings, and flexible management structures.

Electing S-Corp Status

If you want S-Corp treatment, you must:

First form a legal entity (either an LLC or corporation).

File IRS Form 2553 to elect S-Corp tax treatment.

Once that election is effective, your entity must:

Run payroll for owner-employees.

File an S-Corp tax return (Form 1120-S).

Observe corporate record-keeping and employee compliance.

These requirements add complexity and potential ongoing costs – especially for early startups with limited staff.

Other Business Entity Types in Texas

This article focuses on LLC formation and S-Corp tax election, which are among the most common choices for Austin-area businesses. However, Texas law also recognizes several other business entity types, including:

Sole Proprietorship

General Partnership

Corporation

Limited Partnership (LP)

Limited Liability Partnership (LLP)

Additional variations used in Texas include Series LLCs and non-profit corporations

Each of these entity types differs in terms of liability exposure, taxation, filing requirements, and governance. As a result, business owners often consult legal and tax professionals to determine which structure best aligns with their specific goals and risk profile.

Ownership & Growth Considerations

LLCs: Flexibility and Simplicity

LLCs offer broad flexibility:

Unlimited members, including non-U.S. citizens and entities.

Flexible profit distribution as defined by the operating agreement.

Simple management options (member-managed or manager-managed).

This makes LLCs ideal for many solo founders, small teams, and service-oriented businesses in Austin, including startups, construction companies, restaurants, and real estate ventures still refining their business model.

S-Corps: Growth, Limits & Requirements

An S-Corp imposes some key ownership restrictions:

Maximum of 100 shareholders.

Shareholders must generally be U.S. citizens or residents.

Only one class of stock is permitted.

These rules limit the S-Corp’s appeal for businesses planning broad equity distribution or seeking outside investment from sophisticated firms.

However, if your Austin business plans steady profitability and owner salary optimization, the tax benefits might outweigh these limits.

So, Which Is Right for Your Austin Business?

In practice, the appropriate choice often depends on how and when a business expects to grow. Based on our experience advising Austin-area startups and other closely held businesses, the following considerations may be helpful when evaluating common business profiles:

When to Lean Toward an LLC

You’re launching with modest initial profits.

You value operational simplicity over tax optimization.

You plan to keep the ownership structure flexible.

You prefer fewer formalities.

When to Consider S-Corp Election

Your business is already generating significant profits (often suggested around or above ~$80,000+).

You want to reduce self-employment taxes legally.

You’re ready to handle payroll, reasonable compensation rules (which are fact-specific under IRS guidance, not a fixed formula), and additional compliance requirements.

An LLC that later chooses an S-Corp tax election is a common strategic path: you benefit from the LLC’s flexibility in the early years and switch to S-Corp tax treatment when profit and administrative capacity justify it.

Working With an Austin Business Formation Lawyer

Navigating entity selection, tax elections, compliance rules, and growth planning can be complex. An Austin business formation lawyer with deep experience in corporate law can help you:

Understand IRS requirements and Texas state regulations

Evaluate projected profits and tax outcomes

Draft operating agreements and corporate policies

Stay compliant with ongoing reporting obligations

This guidance is especially valuable for business owners forming startups, construction companies, restaurants, real estate entities, and other closely held businesses across Central Texas.

A Guide from Austin Construction Law Attorneys

What’s the best way to resolve a construction dispute in Austin? Construction disputes are a reality for many developers, general contractors, and subcontractors in the Austin and Central Texas markets. From disagreements over delays and changed conditions to payment disputes and defect claims, how you resolve a dispute can have a major impact on your project’s timeline, budget, and business relationships.

In our experience advising Austin-area construction professionals, BCS Law’s construction law team regularly assists developers, general contractors, and subcontractors with dispute resolution strategies, including Austin construction mediation, construction arbitration in Texas, and traditional construction litigation. This article breaks down the pros and cons of each method.

Alternative Dispute Resolution (ADR) in Austin Construction: Why It Matters

In Central Texas, construction projects range from small local renovations to large mixed-use developments. Regardless of size, disputes can be costly and disruptive. Traditional litigation in state or federal court often means months or years of legal wrangling, significant attorney and court fees, and public exposure of sensitive business issues.

For many in the Austin construction industry, ADR methods – particularly mediation and arbitration – offer potential advantages over litigation, and are commonly addressed in construction contracts governed by Texas and federal law.¹ ADR can:

Reduce time to resolution

Lower legal costs

Preserve business relationships

Provide flexibility tailored to the parties’ needs

But ADR isn’t a one-size-fits-all solution. Below, we explain each option in detail and give practical insights for construction professionals.

Austin Construction Mediation: Collaborative and Cost-Effective

What Is Mediation?

Mediation is a facilitated negotiation with a neutral third party – the mediator – who helps the disputing sides find common ground. Unlike arbitration or litigation, the mediator does not issue a binding decision. Instead, the goal is a voluntary, negotiated settlement.

Pros of Mediation

Cost-Effective: Mediation typically costs much less than litigation because it avoids many formal procedures.

Faster: Mediation can often be scheduled and concluded in weeks or a few months, rather than the years it may take to litigate.

Confidential: Sessions are private, and details are generally not part of public record – a valuable feature when protecting reputation or sensitive contract terms.

Control Over Outcome: Parties have direct input into the solution, allowing more creative and customized resolutions.

Relationship Preservation: The cooperative nature often preserves or improves business relationships – especially useful in repeat-partner construction markets like Austin.

Cons of Mediation

Non-Binding: If no agreement is reached, mediation doesn’t resolve the dispute by itself; additional steps like arbitration or litigation may be needed.

Dependent on Cooperation: Success hinges on both parties actively participating and negotiating in good faith.

Power Imbalances: If one side has significantly more leverage, mediation may not yield a fair outcome.

Best Use: Mediation is a great first step for disputes over contract interpretation, payment issues, scheduling conflicts, or quality concerns where both parties want a quick resolution without burning bridges.

Construction Arbitration in Texas: Private, Binding, and Final

What Is Arbitration?

Arbitration is a private, adjudicative process where a neutral arbitrator (or panel) hears evidence and issues a decision (award) that is typically binding and enforceable like a court judgment.²

Pros of Arbitration

Binding and Final: Arbitration awards are generally enforceable, providing a clear endpoint without the need for prolonged litigation.

Confidential: Like mediation, arbitration proceedings are usually private and not part of the public court record – a meaningful advantage in high-stakes construction disputes.

Industry Expertise: Parties can often choose arbitrators with construction law or engineering expertise – an edge over judges or juries unfamiliar with complex construction issues.

Speed and Flexibility: Arbitration can be faster and more flexible than litigation, depending on how the arbitration process is structured.

Cons of Arbitration

Limited Appeal Rights: Arbitration awards are generally final with narrow grounds for appeal, even if you believe the decision was flawed.

Cost: While often cheaper than litigation, arbitration can still be expensive, especially with multiple arbitrators or extensive hearings.

Discovery Limits: The process may restrict discovery compared to court litigation, which can be a disadvantage when extensive evidence gathering is needed.

Drafting Complexity: Poorly drafted arbitration clauses can lead to procedural ambiguity and disputes over the arbitration process itself.

Best Use: Arbitration is particularly effective for larger Austin projects with multiple stakeholders or where confidentiality and expert decision-making are priorities.

Construction Litigation: Formal and Enforceable

What Is Litigation?

Litigation is the traditional process of resolving disputes through state or federal courts with judges (and sometimes juries) determining the outcome.

Pros of Litigation

Full Legal Protection: Courts offer structured procedures, extensive discovery tools, and judicial oversight.

Right to Appeal: Unlike arbitration, litigation allows appeals when legal errors occur.

Public and Transparent: The public nature of court outcomes can benefit parties seeking precedent or clear legal determinations.

Cons of Litigation

Time-Consuming: Court cases often take many months or years due to formal procedures and court backlogs.

High Costs: Legal fees, expert witnesses, and extended discovery can make litigation the most expensive route.

Public Exposure: Sensitive contract terms or business practices may become public record.

Loss of Control: Judges and juries decide the outcome, potentially resulting in unpredictable results.

Best Use: Litigation is often reserved for disputes involving novel legal questions, parties unwilling to participate in Alternative Dispute Resolution methods, or where compelling legal precedent is essential.

Choosing the Best Method for Your Austin Construction Project

The suitability of any dispute resolution method depends on the specific contract terms, project circumstances, and applicable law. As a result, there is no one “best” dispute resolution method for all projects. Here are some practical considerations:

Small to Mid-Size Projects: Mediation often provides a quick, affordable resolution and helps preserve business relationships.

Large or Complex Projects: Arbitration can balance confidentiality, expert decision-making, and enforceability without the full cost and delay of litigation.

High-Stakes Legal Issues or Refusal to Negotiate: Litigation ensures formal procedural safeguards and appeal rights when necessary.

In many Central Texas contracts, parties often consider a tiered dispute resolution clause – negotiation first, then mediation, and finally arbitration – before resorting to litigation. This approach encourages early settlement while preserving fallback options if ADR fails.

Need Help with a Texas Construction Dispute?

Choosing the right dispute resolution strategy is a decision that affects timelines, costs, relationships, and risk exposure. Central Texas construction mediation, construction arbitration, and construction litigation each have distinct advantages and constraints.

Why Contracts Are Crucial for Austin Businesses

Contracts are more than formalities; they are enforceable legal tools that define rights, obligations, and remedies between parties. In a competitive and collaborative city like Austin, clear contracts are essential for maintaining trust, minimizing risk, and avoiding costly disputes.

Whether you’re entering a vendor agreement or partnering with another entrepreneur, a poorly written contract, or no contract at all, can expose your business to liabilities that are expensive and time-consuming to resolve.

Common Business Contracts for Austin Companies

Business needs vary by industry, but these are the most common types of contracts we help draft and review for Austin-based businesses:

1. Service Agreements

Austin has a large service-based economy—from marketing and design firms to software developers and consultants. Service agreements outline:

Scope of services

Payment terms

Timeline and key deliverables

Who owns the work or intellectual property

How and when the agreement can be terminated

Options for resolving disputes if they arise

Because so many Austin companies work business-to-business (B2B), having service agreements that spell these points out clearly is not just helpful—it’s critical to protecting both sides.

2. Partnership Agreements

When more than one person is involved in running a business, a written agreement helps prevent misunderstandings down the road. A good partnership agreement might spell out:

How much of the company each partner owns

The amount of money, property, or other resources each person is putting in

Day-to-day roles, plus who makes which decisions

How income (and losses) are divided

What happens if someone wants to step away or sell their share, or a death or divorce take place

In Austin’s startup scene, we frequently see informal partnerships that lack clear legal agreements. This often leads to conflicts that could have been prevented with the help of an Austin business contract lawyer.

3. Vendor and Supplier Agreements

Whether you’re buying ingredients for a restaurant on South Congress or signing on with a software provider in East Austin, a vendor agreement helps make sure both sides know exactly what to expect. The most common points to cover are:

A clear description of the product or service being provided

How and when payments will be invoiced and collected

Delivery timelines and scheduling details

Any warranties or guarantees

Limits on liability if something goes wrong

4. Lease and Construction-Related Agreements

If your business needs a physical location or plans to renovate a space, contracts tied to leasing and construction are just as important as your vendor or service agreements. These can include:

Commercial leases or subleases for offices, storefronts, restaurants, or manufacturing facilities

Contracts with general contractors or subcontractors for remodeling, renovations, or new builds

Construction agreements that outline project timelines, payment schedules, change orders, and dispute resolution

Without clear terms, businesses can face delays, unexpected costs, or liability issues during a buildout or remodel. Having these agreements drafted or reviewed by a business contract lawyer in Austin helps ensure your company’s rights are protected before work begins.

Specific Considerations for Austin Business Contracts

Running a business in Austin means paying attention to more than just the deal itself. Companies here have to comply with Texas contract law as well as local city rules, and a few areas tend to come up again and again:

1. Texas Contract Law Nuances

Texas law generally favors freedom to contract, meaning parties can agree to broad terms unless they’re illegal or unconscionable. However, this also means that Texas courts often strictly enforce the terms you sign, even if they’re unfavorable.

That’s why contract review in Texas is so critical before signing any agreement.

2. Non-Compete and Non-Solicitation Clauses

These clauses are common in service contracts and employment agreements. Under Texas law, non-competes must be:

Ancillary to an otherwise enforceable agreement

Reasonable in scope, geography, and duration

In Texas, non-compete agreements remain enforceable if they are tied to an otherwise valid contract and are reasonable in time, geography, and scope. Texas courts will enforce these covenants and may also reform them if they are overly broad. A recent federal rule that would have banned most non-competes was struck down by a Texas court, and the FTC has since dropped its appeal, leaving Texas law firmly in place.

3. IP Ownership in Tech and Creative Sectors

Austin’s booming startup and creative industries require particular attention to intellectual property (IP) clauses. Whether you’re hiring a freelance designer or collaborating on a new app, make sure the contract clearly specifies who owns the rights to the final product.

If this isn’t clearly addressed, you could lose valuable ownership of work you paid for.

4. Local Business Regulations and Licensing

Although Texas is known for its business-friendly environment, the City of Austin does have its own licensing requirements, zoning rules, and environmental regulations. Your contracts should reflect any local compliance requirements where relevant.

Why Work with an Austin Business Contract Lawyer?

A knowledgeable Austin business contract lawyer brings both legal expertise and local insight to the table. Here’s what the qualified attorneys at BCS Law can do for you:

Draft enforceable contracts that meet your specific business goals

Review contracts you’re asked to sign, highlighting risks or unfair clauses

Negotiate terms to better protect your interests

Ensure compliance with Texas and local Austin laws

Minimize litigation risk by building strong contracts upfront

With Austin’s business ecosystem evolving rapidly—especially in sectors like tech, Green Energy, and professional services—legal guidance can give you a significant advantage.

What’s the Best Way to Set Up My New Business in Austin?

The type of legal entity you choose will shape your taxes, liability, and even how your contracts are written. In Austin, most small businesses choose an LLC because it offers flexibility and liability protection. Some elect S-Corp status for federal tax purposes, but that’s a tax election rather than a separate entity type. Larger companies, or those planning to raise money from investors, may opt for a C-Corporation, which follows a more traditional corporate structure.

Here’s a quick checklist:

1. Choose the Right Business Structure

Common choices in Austin include:

LLC – the most popular choice for small businesses because it balances flexibility with liability protection. Many owners also elect S-Corp tax status, which is an IRS tax classification, not a separate entity type.

C-Corporation – a traditional corporate structure that some growing companies choose, especially if they plan to raise outside investment.

Partnership or Sole Proprietorship – the simplest to form, but they provide little to no liability protection for the owners.

We help you choose and form the right structure for your goals.

2. Register Your Business

File with the Texas Secretary of State and obtain an EIN (Employer Identification Number). Austin businesses may also need local permits or licenses, depending on the industry.

3. Draft Foundational Contracts

When you’re getting a business off the ground, a few agreements make life much easier. For example, you may want to have:

An operating agreement that explains how your LLC will be managed

Service or sales contracts to set clear expectations with clients and customers

Employment or contractor agreements that outline pay and responsibilities

NDAs or intellectual property agreements to protect sensitive information and ownership rights

In our experience, templates only get you so far. If your business is growing—or has anything unique about it—it’s worth having a lawyer tailor these documents to you.

4. Protect Intellectual Property

Austin businesses in design, tech, or media should protect IP early. Instead of leaving ownership questions for later, many Austin businesses take steps to protect their work up front. That could mean registering a trademark, filing a copyright, or making sure contracts spell out who actually owns the intellectual property.

5. Plan for Growth

Include clauses that anticipate future changes—like scaling operations, adding investors, or exiting the business. Well-drafted agreements evolve with your business.

Don’t Sign That Contract Until It’s Reviewed

Even “simple” agreements can include hidden pitfalls. Never sign a business contract—especially one involving large sums, long commitments, or valuable IP—without having it reviewed by a qualified Austin business contract lawyer.

A contract review in Texas often uncovers:

Unclear or one-sided terms

Hidden liability risks

Gaps in payment protections

Improper jurisdiction or dispute resolution clauses

Construction contracts are vital in supporting a project’s success for both developers and property owners alike. These crucial agreements set the expectations, responsibilities, and liabilities of all parties. A well-crafted construction contract is clear, minimizes the risk of disputes, and shapes the relationship between parties.

If you are starting a construction project, it’s important to understand the types of contracts, key terms, common disputes, and how to negotiate. In this guide, the BCS Construction Law Team will lead you through the foundational elements of a construction contract.

Types of Construction Contracts

There are four main types of construction contracts. Each determines how to set a project’s payment structure.

Lump Sum Contract

The entire project is quoted at a single fixed price before work begins. It’s crucial for contractors to accurately estimate the timeline, labor, and material costs. An inaccurate estimate can significantly impact the bottom line. According to CoConstruct, 80% of the 38,000 projects entered into its software from 2018–2020 were lump sum contracts.

Cost Plus Contract

Covers the actual costs of construction (labor and materials) plus a fee or percentage of profit. This helps cover both direct and indirect costs, including fluctuations.

Time and Materials Contract

Charges hourly labor rates plus the cost of materials. Useful when some aspects of the project scope are undefined, this format speeds up bidding but requires meticulous record-keeping for accurate billing.

Unit Price Contract

Pricing is based on individual units (e.g., per square foot or per item). Ideal for projects involving repeatable elements, like highway or multi-unit housing construction, and allows for straightforward billing per unit completed.

Essential Elements of Successful Austin Construction Contracts

Understanding the various areas and clauses of a construction contract is essential in protecting yourself in a construction deal. Consider these essential elements:

Scope of work – Details all the tasks and expected outcomes of the project. A clear scope of work sets all parties up for success with accurate expectations and prevents miscommunications and disputes.

Payment terms – How and when payments will be delivered, including any penalties. Texas law requires specific language if retainage (typically 10%) is withheld, and failure to comply with notice and filing deadlines may invalidate lien rights under Chapter 53 of the Texas Property Code.

Change orders – The process of changing the contract—written approval for changes to the project scope, timelines, and payments.

Termination – Grounds and procedures for ending the contract early.

Insurance and indemnity – Each party’s insurance requirements, limits, and situations where one party may be responsible for losses or damages.

Dispute resolution – How will any disputes be handled? Mediation, arbitration, and litigation are the most common methods. Many Texas construction contracts mandate binding arbitration, which significantly impacts how disputes are resolved.

Exclusions – Some Texas construction contracts define what the contractor is not responsible for, helping avoid misunderstandings and reduce potential legal disputes. Vague or overly broad exclusions may be construed against the drafter under Texas law, especially in consumer-facing agreements.

Negotiating Construction Contracts

Approaching construction contract negotiations with the right preparation can save you from costly mistakes and unfavorable terms. Come to the negotiation table with these specifics in mind:

Define your non-negotiables, and consider where you could be flexible.

Research potential challenges and legal requirements.

Clarify vague or overly technical language to avoid misinterpretation.

Limit liability, and confirm insurance requirements.

Ensure change order procedures are workable.

Clearly define “substantial completion.”

Avoid one-sided indemnity clauses.

Keep communication clear, and ensure all agreements are documented before finalizing negotiations.

Common Construction Disputes in Austin

Even with the best planning and communication, disputes may still arise. Having a comprehensive and enforceable contract can reduce the risk of costly litigation.

Here are the most common disputes in the construction industry:

Scope of work disagreements – If the scope of work provision is not clearly defined, it can lead to a dispute over incomplete or inadequate quality of work.

Delays – Disputes over who is responsible and how delays affect payments.

Unauthorized change orders – Failure to comply with established change order procedures can result in significant legal implications, including breach of contract claims or litigation.

Claims of unsound workmanship – Poor workmanship can expose contractors to serious legal repercussions, ranging from costly lawsuits to loss of licenses.

Disputes over payment or retainage – Payment and retainage disputes caused by unclear contract terms can lead to costly delays in the project and even litigation if they can’t be resolved in a timely manner.

Termination without cause – If a construction contract has been wrongfully terminated, it is a breach of the contract, and the terminating party may be on the hook for penalties and damages associated with the breach.

How To Pick the Right Austin Construction Contract Lawyer

A knowledgeable construction lawyer safeguards your interests, ensures compliance, and helps resolve disputes. Look for someone who:

Specializes in construction law

Communicates clearly and effectively

AUSTIN, Texas – During Covid-19, construction projects have
encountered numerous challenges, issues, and problems. Contractors and
subcontractors’ problems range from reduced cash flow and project delay to
accelerated production schedules to try and reach completion before the next
round of government closures. Civil law attorney Anthony Ciccone discussed tips and strategies to
deal with these issues and minimize damage during an online presentation to
members of Associated
Builders and Contractors Central Texas Chapter. He also explained what subcontractors
and sub-subcontractors should do if they are unable to work due to illness,
lack of childcare, or other reasons.

Anthony discussed the following issues:

Breach
of contract: how
to minimize damage if you or a vendor needs to breach a contract

Detailed
notes and emails: how
to “dictate the story” to control your case

Abandoning
a project:
why you should (almost) always offer to come back

Photos: why capturing images isn’t
enough

Organizing
data:
the most commonly lost documents and how save them
